1. Agreement to Terms
By accessing or using the services provided by Vertoaeris Systems Inc. ("Company," "we," "us," or "our"), a corporation incorporated under the laws of Ontario, Canada, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.
2. Description of Services
Vertoaeris Systems Inc. provides AI-powered predictive maintenance solutions, including but not limited to:
- Foundation models for predictive maintenance (POAM framework)
- Real-time equipment monitoring and analysis
- Data infrastructure and simulation services
- API access for integration with existing systems
- Consultation and support services
3. User Obligations
By using our services, you agree to:
- Provide accurate and complete information when registering or using our services
- Maintain the confidentiality of your account credentials
- Use our services only for lawful purposes and in accordance with these Terms
- Not attempt to reverse engineer, decompile, or disassemble our AI models or software
- Not use our services to compete directly with Vertoaeris Systems Inc.
- Comply with all applicable laws and regulations
4. Intellectual Property
All intellectual property rights in our services, including but not limited to our AI models (POAM-Nano, POAM-Base, POAM-Large), Profile Evidence methodology, software, algorithms, documentation, and trademarks, are owned by Vertoaeris Systems Inc. or our licensors.
You are granted a limited, non-exclusive, non-transferable license to use our services in accordance with these Terms. This license does not include any right to modify, distribute, or create derivative works based on our services without our prior written consent.
5. Data and Privacy
Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to our collection and use of data as described in the Privacy Policy.
You retain ownership of any data you provide to us for processing through our services. You grant us a non-exclusive license to use such data solely for the purpose of providing and improving our services.
6. Service Availability and Modifications
We strive to maintain high availability of our services but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice. We will make reasonable efforts to notify users of material changes that may affect their use of the services.
7. Fees and Payment
Certain services may require payment of fees as specified in your service agreement. All fees are quoted in Canadian dollars unless otherwise specified. You agree to pay all applicable fees and taxes in a timely manner. Failure to pay may result in suspension or termination of your access to our services.
8. Third-Party Services
Our services may integrate with or provide access to third-party services, including insurance coverage through partner providers. Your use of such third-party services is subject to their respective terms and conditions. Vertoaeris Systems Inc. is not responsible for the availability, accuracy, or content of third-party services.
9. Disclaimer of Warranties
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
While our AI models are designed to provide accurate predictions, we do not warrant that predictions or recommendations will be error-free or that reliance on them will prevent equipment failure or operational issues. Users should exercise their own judgment when making decisions based on our services.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERTOAERIS SYSTEMS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.
Our total liability for any claims arising under these Terms shall not exceed the amount you paid us for the services in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Vertoaeris Systems Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of our services, your violation of these Terms, or your violation of any rights of a third party.
12. Termination
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use our services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, warranty disclaimers, and limitations of liability.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or our services shall be resolved through binding arbitration in Toronto, Ontario, in accordance with the Arbitration Act, 1991 (Ontario), unless otherwise agreed by the parties. Each party shall bear its own costs of arbitration.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after any changes constitutes acceptance of the modified Terms.
